Partner Program Terms

The terms governing participation in the Shiftbreeze Partner Program. By applying to the program or accessing the partner dashboard, you agree to these terms.

These Partner Program Terms are a legally binding agreement between you (the "Partner") and Abide Media Group ABN 95 696 579 683 ("Shiftbreeze", "we", "us"). They apply in addition to our Terms of Service and Privacy Policy.

1. Agreement to terms

You accept these terms by ticking the acceptance box when applying to the program, or by accepting them in the partner dashboard. If you do not agree, do not participate in the program. If you are accepting on behalf of a business, you represent that you have authority to bind that business.

2. The program

The Shiftbreeze Partner Program lets approved partners earn commission by referring businesses to Shiftbreeze using a personal referral link and discount code. Acceptance into the program is at our discretion, participation is non-exclusive, and no minimum promotion is required of you — and no minimum earnings are promised by us.

3. Referrals & attribution

A business is attributed to you (a "Referred Customer") when it signs up:

  • through your referral link, within the attribution window that applies at the time of the click (currently 3 days); or
  • by entering your discount code during signup.

Attribution is recorded at signup only and is not applied retroactively to existing Shiftbreeze customers. Where multiple partners could claim a signup, the most recent link click or entered code wins. Self-referrals — signing up a business you own or control — do not earn commission.

4. Commissions

  • Your commission rate is the percentage notified to you when you join the program (shown in your partner dashboard). Rates can vary by partner and tier.
  • Commission accrues on each payment a Referred Customer actually makes to Shiftbreeze during their first 12 months as a paying customer, measured from their first payment.
  • Commission is calculated on the amount actually collected (after their discounts). No commission accrues on free trials, free plans, taxes, or payments that fail.
  • If a payment is refunded or charged back, the related commission is reversed and may be deducted from your pending balance.
  • Commissions obtained through fraudulent, deceptive, or prohibited promotion (section 7) are void.

5. Payouts & tax

  • Payouts are made monthly by bank transfer to the Australian bank account you provide in your partner dashboard.
  • Balances under $50 AUD roll over to the next month.
  • You are responsible for your own tax affairs, including declaring commission income, and for GST if you are registered. Amounts are stated exclusive of GST; if you are GST-registered, tell us and provide a valid tax invoice or RCTI arrangement.
  • We may withhold payouts while investigating suspected fraud or breach of these terms.

6. Customer discounts

Your referral link and code give your audience a discount notified to you when you join (shown in your dashboard). We may adjust the offer for future signups with notice to you; businesses that have already signed up keep the offer they signed up with.

7. Promotion standards

When promoting Shiftbreeze you must:

  • clearly disclose your commercial relationship with Shiftbreeze (e.g. #ad, #partner, or an equivalent clear statement), consistent with ACCC guidance and the AANA/AiMCO codes;
  • make only truthful, accurate claims about Shiftbreeze — no invented features, pricing, or guarantees;
  • comply with the Spam Act 2003 (Cth) — no unsolicited bulk email or messaging containing your referral link;
  • not bid on "Shiftbreeze" or confusingly similar terms in paid search, and not register domains or social handles that impersonate Shiftbreeze;
  • not post your code to coupon-aggregator sites, and not promote in a way that damages our reputation or breaches any law.

8. Brand assets

We grant you a non-exclusive, revocable licence to use the Shiftbreeze name, logo, and the marketing assets we provide, solely to promote Shiftbreeze under these terms. All intellectual property remains ours, and the licence ends when your participation in the program ends.

9. Term & termination

  • Either party may end participation at any time with 14 days written notice (email is fine).
  • We may suspend or terminate immediately for breach of these terms, fraud, or conduct that harms Shiftbreeze or its customers.
  • On termination, validly accrued commissions are paid out in the normal payout cycle (fraud-related amounts excepted). No further commission accrues after termination, including from previously Referred Customers.
  • Sections 8, 10, 11, and 13 survive termination.

10. Relationship of the parties

You are an independent contractor. Nothing in these terms creates an employment, agency, joint venture, or franchise relationship, and you have no authority to make commitments on Shiftbreeze's behalf.

11. Limitation of liability

To the maximum extent permitted by law, our total liability to you in connection with the program is capped at the commissions paid to you in the 12 months before the claim arose, and neither party is liable for indirect or consequential loss. Nothing in these terms excludes rights that cannot be excluded under the Australian Consumer Law.

12. Changes to the program

We may change these terms, commission rates, the attribution window, or the customer offer with at least 14 days notice by email or dashboard notice. Changes apply prospectively — they do not reduce commission already accrued. Continuing in the program after a change takes effect is acceptance of it.

13. Governing law

These terms are governed by the laws of Queensland, Australia, and the parties submit to the non-exclusive jurisdiction of its courts.
